1. Intellectual Property Rights
This Zen AI software program (the "Software") and the accompanying materials are copyrighted and are proprietary products of Zen AI. The Software is protected by copyright laws and international treaty provisions. Zen AI retains all rights, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant you any ownership interest in or to the Software, but only a limited right of use that is revocable in accordance with the terms of this License.
2. General License Usage and Restrictions
- License Grant: Zen AI grants you a non-exclusive, non-transferable, limited license to install and use the Software for personal or internal business purposes, subject to the terms of this Agreement.
- Prohibited Actions: You may not decompile, reverse engineer, disassemble, or attempt to derive the source code of Zen AI. You shall not modify, adapt, translate, rent, lease, loan, or create derivative works based upon the Software.
- Non-Transferability: You may not sublicense, assign, or transfer this license or the Software to any third party without prior written consent from Zen AI.
- NFR (Not for Resale) Copies: Any version of Zen AI provided on a promotional or "Beta" basis may only be used for demonstration, testing, and evaluation purposes and cannot be resold or transferred.
3. AI Output and Content
- Ownership of Output: To the maximum extent permitted by applicable law, you own the content generated by the Zen AI agent based on your inputs ("Output").
- Responsibility for Content: You are solely responsible for the input data provided to Zen AI and the subsequent use of the Output. You must ensure that your use of the Output does not violate any third-party rights or applicable laws.
- Accuracy Disclaimer: Due to the nature of machine learning, Output generated by Zen AI may be inaccurate, incomplete, or biased. Zen AI does not guarantee the accuracy or reliability of any information produced by the AI agent. You should independently verify all Output before relying on it.
4. Disclaimer of Warranties
ZEN AI IS PROVIDED "AS IS", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. ZEN AI HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. ZEN AI DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
5. Limitation of Liability
TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL ZEN AI BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE).
6. Termination
This License is effective until terminated. Your rights under this License will terminate automatically without notice from Zen AI if you fail to comply with any term(s) of this License. Upon termination, you shall cease all use of the Software and destroy all copies, full or partial, of Zen AI.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Zen AI is registered, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts in the place of Zen AI's company registration.
8. Miscellaneous
- Severability: If any provision of this Agreement is held to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
- Entire Agreement: This License constitutes the entire agreement between you and Zen AI regarding the Software and supersedes all prior communications or agreements.
- Updates: Zen AI reserves the right to modify this Agreement at any time. Your continued use of the Software following any such modification constitutes your acceptance of the new terms.
